TERMS AND CONDITIONS OF SALE

These Terms and Conditions apply to all sales of goods by Grass Gains Ltd (“Grass Gains”, “we”, “us” or “our”) to both business customers and consumers (“Customer”, “you”) whether through direct order, our website (www.grassgains.co.uk), or any other approved platform. By placing an order with us, you agree to be bound by these Terms and Conditions. Where you are a consumer, your statutory rights are not affected.

 

1. Orders and Acceptance

All orders are subject to acceptance by Grass Gains. We reserve the right to reject or cancel any order at our discretion. For consumer sales, a contract is formed when we send you confirmation that your order has been accepted.

 

2. Pricing and Payment

All prices are inclusive of VAT for consumer sales and exclusive of VAT for trade sales, unless otherwise stated. Payment must be made in full at the time of order for consumer purchases. For business customers, payment terms must be agreed in advance and payment must be made in full and in cleared funds within the agreed timeframe. We reserve the right to withhold delivery or cancel outstanding orders if payment is overdue.

 

3. Delivery

Delivery times are estimates only. While we aim to meet all stated delivery dates, we are not liable for any delay or failure to deliver goods on time. For consumer purchases, if we fail to deliver within 30 days of order confirmation, you may be entitled to a full refund.

 

4. Retention of Title

Ownership of the goods shall not pass to the Customer until Grass Gains has received in full (in cash or cleared funds) all sums due in respect of the goods. Until title to the goods passes, the Customer shall hold the goods as our fiduciary agent and bailee and shall keep the goods properly stored, protected and insured.

 

5. Risk

Risk in the goods passes to the Customer on delivery.

 

6. Restrictions on Resale

Grass Gains products must not be sold on Amazon under any circumstances. Only Grass Gains Ltd is authorised to sell its products on the Amazon platform.

For all other online marketplaces (including but not limited to eBay, OnBuy, and Fruugo), customers may only resell Grass Gains products with prior written permission from Grass Gains Ltd. Any unauthorised resale is a breach of these Terms and may result in termination of supply and legal action.

 

7. Consumer Right to Cancel

If you are a consumer, you have the right to cancel your order within 14 days of receiving the goods. You must notify us in writing if you wish to cancel. Goods must be returned in their original, unused condition within 14 days of cancellation. You are responsible for return shipping costs unless the goods were faulty or incorrect.

 

8. Returns and Damages

Claims for damaged or missing goods must be made within 3 working days of receipt. For consumers, we will replace or refund any goods that are faulty or not as described in accordance with your statutory rights.

 

9. Limitation of Liability

Our liability for any claim shall not exceed the purchase price of the goods in question. We shall not be liable for any consequential loss, loss of profit or third-party claims. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded under law.

 

10. Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control.

 

11. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Where you are a consumer, any disputes shall be subject to the jurisdiction of the courts of your residence or the English courts.
